1. Interpretation

1.1 In these Conditions the following words have the following meanings:

• “Business Day”: 8:30am to 5:30pm on any day other than a Saturday, Sunday or public holiday in England when banks in London are open for business.
• “Buyer”: the person, firm or company purchasing Goods or Services from the Company.
• “Company”, “SuperMed”, “we” or “us”: Super Implants Ltd, trading as SuperMed, a company registered in England and Wales with company number 17472303, whose registered office is at 124 City Road, London EC1V 2NX.
• “Consumer”: a Buyer who is an individual acting for purposes wholly or mainly outside their trade, business, craft or profession.
• “Contract”: any contract between the Company and the Buyer for the sale of Goods or Services which incorporates these Conditions.
• “Delivery Point”: the address for delivery notified in writing by the Buyer to the Company.
• “Goods”: any goods agreed in the Contract to be supplied by the Company to the Buyer, including any part of them.
• “Services”: installation, commissioning, maintenance, repair, training or other services supplied by the Company.

1.2 References to a statutory provision include any modification or re-enactment of it. Words in the singular include the plural and vice versa. Headings do not affect interpretation. The word "including" is to be read without limitation.

2. Application of these Conditions

2.1 These Conditions, together with the Contract, are the only terms on which the Company deals with the Buyer. They apply to the exclusion of any other terms, including any terms the Buyer seeks to apply under a purchase order, order confirmation or specification.
2.2 Together with the Contract, these Conditions are the entire agreement between the Company and the Buyer and supersede any previous agreement, understanding or representation. The Buyer confirms that it has not relied on any statement not set out in the Contract or these Conditions.
2.3 If there is any inconsistency between these Conditions and other terms of the Contract, these Conditions prevail.
2.4 No variation of these Conditions has effect unless agreed in writing and signed by a Director of the Company.
2.5 Each order or acceptance of a quotation is an offer by the Buyer to buy Goods or Services on these Conditions. No order is accepted until the Company issues a written acknowledgement of order or, if earlier, delivers the Goods.
2.6 Quotations are valid for 30 days from their date unless withdrawn earlier by the Company.
2.7 Deposits paid for Goods are non-refundable, except where the Buyer is a Consumer exercising a statutory right, or where the Company fails to deliver.
2.8 The Company supplies dental and medical equipment and consumables, including implant systems and regenerative materials. The Buyer is responsible for ensuring that the end user of the Goods holds the appropriate qualifications, training, experience, facilities and insurance to use them.

3. Description of Goods

3.1 The quantity and description of the Goods are as set out in the Company's quotation or acknowledgement of order.
3.2 Samples, drawings, specifications, catalogues, brochures and website illustrations give an approximate idea of the Goods only. They do not form part of the Contract.
3.3 The Company may make minor changes to the design, specification or construction of Goods without notice, provided the changes do not materially affect their performance.

4. Delivery

4.1 Delivery is governed by these Conditions and by the SuperMed Delivery Policy, which sets out shipping destinations, charges, carriers and estimated delivery times.
4.2 Standard delivery is within 3 to 5 Business Days. Special-order items may take up to 30 days. The Company may deliver items ordered through the website within 30 days.
4.3 Unless agreed otherwise in writing, delivery takes place at the Delivery Point. If the Company does not own the Goods at the time of sale, it may complete the sale once it acquires them and before delivery.
4.4 The Buyer must take delivery within 7 days of notice that the Goods are ready. Delivery dates are estimates and time for delivery is not of the essence.
4.5 If the Buyer fails to take delivery, or the Company cannot deliver because the Buyer has not provided appropriate instructions, documents, licences or authorisations, risk passes to the Buyer, the Goods are deemed delivered, and the Company may store them at the Buyer's cost, including storage and insurance.
4.6 The Buyer must provide, at its own expense, suitable equipment and labour for unloading the Goods at the Delivery Point.
4.7 The Company may deliver by instalments. Each instalment is invoiced and paid for separately and is a separate Contract. Cancellation of one instalment does not entitle the Buyer to cancel any other.
4.8 The Company is not liable for any Loss caused by delay in delivery. No delay entitles the Buyer to terminate the Contract unless the delay exceeds 100 days
4.9 Customised or made-to-order Goods are non-returnable. Payment for such Goods constitutes a binding agreement to supply.

5. Delivery to residential addresses

5.1 Orders are delivered to business addresses. Delivery to a residential address carries an additional charge set by our courier partners.
5.2 Where the Buyer requests delivery to a residential address, the Buyer accepts that a courier may leave the parcel at the property if no one is available. The Company is not responsible for loss, theft or damage after the courier records delivery at that address.
5.3 Claims for loss or damage on residential deliveries must be made to the courier. The Company will supply supporting documentation but does not compensate for losses the courier refuses to pay.

6. Non-delivery and shortages

6.1 The quantity of Goods recorded by the Company on dispatch is conclusive evidence of the quantity delivered, unless the Buyer proves otherwise.
6.2 The Buyer must notify the Company in writing of any non-delivery within 14 days of the dispatch date, and of any shortage or transit damage within 5 days of delivery.
6.3 The Company's liability for non-delivery is limited to replacing the Goods within a reasonable time or issuing a pro-rata credit note.
6.4 If the Buyer does not report a lost consignment within 14 days of dispatch, the Company may invoice the Buyer for any replacement supplied.

7. Risk and title

7.1 Risk in the Goods passes to the Buyer on delivery.
7.2 Ownership of the Goods does not pass to the Buyer until the Company has received payment in full, in cleared funds, for the Goods and for all other sums due from the Buyer on any account.
7.3 Until ownership passes, the Buyer must:

• hold the Goods as the Company’s bailee;
• store them separately and keep them identifiable as the Company’s property;
• not remove or obscure any identifying mark or packaging;
• keep them in satisfactory condition and insured for their full price, and produce the insurance policy to the
Company on request.

7.4 The Buyer may resell the Goods before ownership passes only in the ordinary course of its business, at full market value, and as principal.
7.5 The Buyer's right to possession ends immediately if the Buyer becomes subject to any insolvency event, suffers any execution against its property, encumbers the Goods, ceases to trade, or breaches this or any other contract with the Company.
7.5 The Buyer's right to possession ends immediately if the Buyer becomes subject to any insolvency event, suffers any execution against its property, encumbers the Goods, ceases to trade, or breaches this or any other contract with the Company.
7.6 The Buyer grants the Company, its agents and employees an irrevocable licence to enter any premises where the Goods are stored to inspect them or, where the Buyer's right to possession has ended, to recover them.
7.7 If any event in clause 7.5 occurs, or the Buyer fails to pay any sum when due, the Company may suspend further deliveries and terminate the Contract without affecting its other rights.
